Agency Terms

Last updated 24 September 2026 · Version 2026-09-24

These terms apply to agencies on the Unlimited and Resell plans. You accept them in the app when you switch on white label or start selling plans to clients, and we record the version you accepted. They add to our Terms, which still apply to your own account and to how you and your clients use the service.

What you may do

  • Unlimited plan: create and run client accounts, and present the app under your own brand (white label), with one brand.
  • Resell plan: everything in Unlimited, plus up to five brands, a branded sign-up page, your own plans sold through your own Stripe account, and your own prices for usage.

This is a non-exclusive right to resell and provide the service to your clients during your agency plan. You are an independent business, not our agent, and you cannot make promises or contracts on our behalf.

You are the seller to your clients

  • For plans you sell, you set the prices, collect payment through your own Stripe account, and issue the invoices. Your Stripe account is governed by your agreement with Stripe.
  • You are responsible for your clients' support, refunds, chargebacks and complaints, and for any taxes on what you sell. You can set tax on your plans in the app.
  • Your clients' contract for the plans you sell is with you, not with us.

What you pay us

  • Your own agency plan, monthly.
  • On Resell: a monthly wholesale seat for each client on one of your plans (the price of the OpusFunnel tier underneath their plan), and your clients' usage at our wholesale rates, both taken from your agency wallet. Nothing is charged for a seat while the client is in a free trial.
  • On Unlimited: your clients pay their own usage from their own wallets, and your wallet pays only for your own account.
  • If your wallet cannot pay a client's seat, we retry daily. After seven days unpaid, that client is put on hold until the seat is paid, and the hold then lifts by itself. If your wallet is empty, your clients' paid-per-use features, such as texting and AI, stop.

Your client agreements

Before a client uses the service, they must agree to terms with you that include at least:

  • our Acceptable Use Policy, Messaging Terms and AI Terms, or terms at least as strict;
  • our right to suspend or restrict their account or features as our Terms allow;
  • that the service is provided without warranties beyond those you choose to give, and a limit on liability;
  • data processing terms as described in Data protection below;
  • your privacy notice.

Show your terms and privacy notice to clients when they sign up, including on your branded sign-up page. If you do not have your own, you may point clients to ours, and you remain responsible to them.

Subscriptions you sell

  • Tell clients clearly, before they pay, the price, how often it renews, any trial and how to cancel.
  • Where the law requires online cancellation (for example for consumers, or anyone who signed up online in many US states), you must keep online cancellation switched on for those clients. Do not use the setting that sends cancellations to you to make cancelling harder than signing up.
  • If you mark up usage, show clients the prices they will pay. No hidden fees.

Data protection

  • For your clients' data you are usually their processor, and we are your sub-processor under our Data Processing Addendum. We do not offer OpusFunnel to businesses established in the EU, the EEA, the UK or Switzerland, and that includes your clients. If your clients' data includes personal data of people there, the safeguards in section 12 of the DPA apply.
  • You must have a data processing agreement with each client that authorises us and our sub-processors and passes on obligations at least as protective as our DPA.
  • White label keeps our brand out of the app your clients see. It does not remove your duty to name us and our sub-processors in your data processing agreements and, where the law requires, in your privacy notice.
  • Pass your clients' data protection requests to us promptly, and we will help as the DPA sets out.

Access to client accounts

  • Your agency's team can see and work in your clients' accounts. You are responsible for who you give access to and what they do.
  • Opening a client account with "act as" is logged with the person and their IP address.
  • Some client data is sensitive, for example the tax forms of your clients' affiliate partners and their texting registration details. Only look at it when you need to for the client.

Texting and calling

  • Each client must register its own texting brand with the carriers. You may not register one brand and use it for several clients.
  • You are responsible for your clients following the Messaging Terms, and for any registration your resale of texting or calling needs where you operate.

Brands and white label

  • You give us permission to show your name, logo and domain in the white-labelled app, emails and pages for your clients.
  • While you are an agency, you may use our name to describe the service to prospects, in line with our brand rules, but not suggest you are OpusFunnel.
  • White label covers the app and the emails and pages your clients see. Some things still show other brands, such as Stripe's payment pages, and our name appears in legal documents such as sub-processor lists.

Templates and snapshots

You and your clients may use our templates, snapshots and the stock images in them to build your own and your clients' sites and funnels. Stock images are provided under their providers' licences. You may not sell templates or snapshots on their own, separate from the service.

Support

You support your clients. We support you. We do not offer an uptime guarantee or service credits unless we agree one with you in writing.

Suspending a client

We may suspend or restrict a client account, or one of its features, for the reasons in our Terms, for example a breach of the Acceptable Use Policy, a carrier request or suspected abuse. Where we can, we will tell you first. You must act promptly when we ask you to deal with a client's breach.

Ending

  • You can cancel your agency plan like any other plan. Your client accounts and brands depend on an agency plan, so before it ends you must tell your clients and give them a reasonable chance to export their data or move.
  • If you stop paying or we end these terms, we may offer your clients an OpusFunnel account of their own so their data and pages are not lost.
  • We may end these terms on 30 days' notice, or at once for a serious breach.

Indemnity and liability

You will defend and indemnify OpusFunnel against claims, fines and penalties arising from your clients' use of the service, from what you tell your clients, and from your breach of these terms. The liability limits in our Terms apply to these Agency Terms, and they are governed by the same law.
